Please read these Terms of Service (collectively with CAYO Nutraceutical's Privacy Policy https://cayonutra.com/policies/privacy-policy/, the "Terms of Service") fully and carefully before using www.trychuv.com (the "Site") and the services, features, content, applications, or products offered by CAYO Nutraceutical ("we", "us", "our" or "CAYO") (together with the Site, the "Services"). These Terms of Service set forth the legally binding terms and conditions for your use of the Site and the Services.

Acceptance of Terms of Service.

Registration

To sign up for the Services, you must register for an account on the Services (an "Account"). You must provide accurate and complete information and keep your Account information updated. You shall not: (i) select or use as a username a name of another person with the intent to impersonate that person; (ii) use as a username a name subject to any rights of a person other than you without appropriate authorization; or (iii) use, as a username, a name that is otherwise offensive, vulgar, or obscene. You are solely responsible for the activity that occurs on your Account, and for keeping your Account password secure. You may never use another person's user account or registration information for the Services without permission. You must notify us immediately of any change in your eligibility to use the Services (including any changes to or revocation of any licenses from state authorities), breach of security, or unauthorized use of your Account. You should never publish, distribute, or post login information for your Account. You shall have the ability to delete your Account, either directly or through a request made to one of our employees or affiliates.

Definitions

When referring to "Content" under this Terms of Service document, we include a broad variety of material such as data, text, photos, videos, audio clips, written posts, comments, software, scripts, graphics, and features created, supplied, or otherwise made available via our Services. It is understood that you access all Content through the Services at your own risk, and you alone are responsible for any resulting harm to yourself or others. Your use of the Services implies a commitment not to exploit them for forbidden purposes as delineated by these Terms of Use. All actions taken by you within the context of the Services are under your accountability.

Prohibited actions include:

• Imposing a load on the infrastructure of CAYO Nutraceutical or our third-party providers that we deem, in our sole judgment, as unreasonable or excessively large;
• Disrupting or interfering with the proper functioning of the Services or associated activities;
• Bypassing or attempting to bypass measures set to limit access to the Services;
• Utilizing bots, spam methods, or automated systems on the Services;
• Engaging in web scraping of any site content;
• Compiling or gathering Content from the Services improperly;
• Spreading known false, misleading, untruthful, unlawful, or inaccurate information;
• Uploading viruses or harmful computer code intended to disrupt, damage, or gain unauthorized access to any system, data, or information;
• Taking any action against our guidelines and policies.

You are also prohibited from indirectly or directly:

• Deciphering, decompiling, disassembling, reverse engineering, or deriving the source code or underlying concepts of any part of the Services;
• Modifying, translating, or creating derivative works of any part of the Services;
• Transferring the rights granted to you hereunder.

Furthermore, CAYO Nutraceutical maintains the right to manage, preserve, and disclose any necessary information to:

All purchases of our products are for personal use only. By buying our products, you are agreeing not to resell or distribute them for any commercial purposes. Any violation of these terms could prompt CAYO Nutraceutical to take necessary actions.

Paid Services

Some of the offerings on CAYO Nutraceutical's website, which may include the sale of various products, could require payment now or in the future ("Paid Services"). It should be understood that any payment conditions presented to you when enlisting or utilizing a Paid Service become an integral part of this Agreement.

Billing

We engage the services of a third-party payment facilitator ("Payment Processor") to invoice you via a payment account connected to your Service Account ("Billing Account") when you access any Paid Services. This process of processing payments will adhere to the terms, conditions, and privacy stipulations of the Payment Processor, along with the terms of this Agreement. CAYO Nutraceutical cannot be held accountable for any missteps made by the Payment Processor. By selecting Paid Services, you consent to remunerate us, via the Payment Processor, for all charges at the applicable rates for any use of such Paid Services, based on the corresponding payment terms. Furthermore, you authorize us, via the Payment Processor, to bill your designated payment provider ("Payment Method"). You agree to execute payments using the chosen Payment Method. We maintain the right to amend any billing mistakes even after a payment request or receipt has been made.

Payment Method

Your payment details, bound by the Payment Method you select, may be defined by agreements between you and the banking institution, credit card company, or any other entity of your Payment Method selection. Should we, through the Payment Processor, fail to obtain payment from you, you are obligated to settle all pending amounts on your Billing Account immediately upon request.

Recurring Billing

Certain Paid Services, such as subscription-based product purchases, may include an initial time frame subject to a one-time fee, followed by cyclical charges as per your consent. You can specify the interval at which you wish to receive subscription-based products. Further details on subscription services can be accessed on our Help / FAQ page. Opting for a recurring payment plan means you recognize that such Services have an initial and repeated payment attribute, and you take responsibility for all recurring charges before cancellation. Once charged, all recurring payments are deemed earned. CAYO Nutraceutical MAY CHARGE YOU REPEATEDLY (E.G., MONTHLY) WITHOUT REQUIRING ADDITIONAL AUTHORIZATION FROM YOU, UNLESS YOU NOTIFY US (WITH CONFIRMED RECEIPT) TO TERMINATE THIS PERMISSION OR TO MODIFY YOUR PAYMENT METHOD. SUCH NOTIFICATION WILL HAVE NO IMPACT ON CHARGES PROCESSED BEFORE WE ARE ABLE TO RESPOND APPROPRIATELY. To end your authorization or alter your Payment Method, please email us at support@trychuv.com.

Current Information Required

YOU MUST ENSURE THAT YOUR BILLING ACCOUNT DETAILS ARE ACCURATE, COMPLETE, AND UP-TO-DATE. You must immediately rectify any changes to keep your Billing Account accurate, complete, and current (such as changes in your billing address, credit card number, or the expiration date of your credit card), and you must promptly notify CAYO Nutraceutical or our Payment Processor should your Payment Method expire (e.g., due to loss or theft) or if you suspect a potential security breach, such as unauthorized revelation or usage of your username or password. You can update your information via the accounts page. Should you neglect to submit any required details, you consent that we may persist in charging you for any Paid Services related to your Billing Account unless you've finalized the termination of your Paid Services as specified previously.

Change in Amount Authorized

If there's an adjustment to the charge on your Billing Account that differs from the amount you initially authorized (aside from changes in state sales tax amounts), you are entitled to, and CAYO Nutraceutical will provide, prior notice of the upcoming charge and its exact date before the charge is enacted. Your agreement with your payment provider will dictate how your Payment Method is utilized. You concur that we can compile incurred charges and submit them collectively as one or in multiple grouped charges at the end of or during each billing period.

Continuous Subscription Enrollment

Subject to your account preferences, which can be adjusted in your accounts tab on trychuv.com, your enrollment in our ongoing subscription offerings, such as any cyclic replenishment services ("Continuous Subscription Services"), will continue automatically. The subscription will renew iteratively for the same period as initially chosen, at the current standard rate. To alter or cancel your Continuous Subscription Services at any time, visit your profile settings. Should you decide to end a Continuous Subscription Service, the service will remain active until the end of the current period; it will not renew once that period reaches its conclusion. Upon payment, all charges for Continuous Subscription Services are final.

Confirmation of Payment Authorization

Your choice not to cancel or continued patronage of any Paid Service, which includes Continuous Subscription Services, confirms your permission for us to initiate charges to your chosen payment medium. We are authorized to process these billed amounts, and you agree to be responsible for any ensuing charges. This does not diminish our right to obtain payment from you directly. Payment obligations could be due upfront, following service use, per utilization, or as initially detailed when you began using the Paid Service.

Trial Offers and Promotional Campaigns

Any promotional trial or campaign that grants usage rights to a Paid Service must be exercised within the predefined duration of the offer. It is your responsibility to cease usage of a Paid Service before the trial's expiration to avoid incurring charges for that service. If you annul the service before a trial period concludes and still incur charges for a Paid Service, connect with us at support@cayonutra.com for support.

Service Termination

CAYO Nutraceutical reserves the right to terminate your access to any or all of the Services at any given moment, with or without cause, and with or without notice, which could result in the loss and destruction of all data related to your account. If you elect to terminate your Account, you may do so following the guidelines on our website or through the Services directly. All fees paid are final and non-refundable. The provisions in these Terms of Service intended to last beyond termination will do so, including, but not limited to, property rights, disclaimer of warranties, indemnity, and limitations on liability.

Disclaimer of Warranties

Our relationship with you is not unique or legally bound beyond the provision of services. You recognize that we are under no obligation to act concerning:

• your access to the Services;
• the Content you obtain through the Services;
• your interpretation or application of the Content.

You absolve us from all accountability for obtaining or lack thereof of Content via the Services. We do not claim the accuracy, copyright adherence, or legality of any material or Content retrieved through the Services. THE SERVICES AND CONTENT ARE DELIVERED WITHOUT ANY WARRANTY, EITHER STATED OR IMPLIED, INCLUDING, BUT NOT LIMITED TO IMPLIED WARRANTIES OF OWNERSHIP, NON-VIOLATION, MERCHANDISING, AND APTNESS FOR A PARTICULAR PURPOSE. IMPLIED WARRANTIES ARISING FROM ANY PERFORMANCE OR TRADE USAGE ARE EXPLICITLY EXCLUDED. CAYO Nutraceutical, including its directors, staff, agents, suppliers, partners, and content providers do not assure that: (I) the Services will be infallibly secure or available at any specific time or place; (II) errors or defects will be remedied; (III) any content or software obtained from or via the Services is devoid of damaging components; or (IV) the outcomes from using the Services will satisfy your expectations. Any use of the Services is at your own discretion and risk.

Indemnity Obligation

You agree to protect, indemnify, and preserve CAYO Nutraceutical, its affiliated entities, and each of their respective workers, contractors, directors, suppliers, and representatives from any liabilities, claims, and expenses, including reasonable attorney fees, arising from or associated with your use or misuse of, or entry to, the Services or Content in contravention of these Terms of Service, or infringement by you, or any third party using your Account or identity in the Services, of any property or other rights of any individual or organization. We retain the exclusive privilege to spearhead the defense and control of any situation otherwise requiring indemnification from you, during which you will support and cooperate with CAYO Nutraceutical in any defensive strategies.

Limitation of Liability

UNDER NO CIRCUMSTANCES SHALL CAYO NUTRACEUTICAL, ITS OFFICERS, STAFF MEMBERS, ASSOCIATES, BUSINESS PARTNERS, SUPPLIERS, OR CONTENT PROVIDERS BE HELD LIABLE WHETHER IN AGREEMENT, TORT, UNDER STRICT LIABILITY, NEGLIGENCE OR ANY OTHER LEGAL OR FAIR THEORY RELATING TO THE SERVICES FOR ANY KIND WHATSOEVER OF LOST REVENUE, DATA LOSS, COSTS INCURRED FROM ACQUIRING ALTERNATIVE PRODUCTS OR SERVICES, OR FOR ANY INCIDENTAL, INDIRECT, SPECIAL, PUNITIVE, CONSEQUENTIAL, OR COMPENSATORY DAMAGES, SUBSTITUTE PRODUCTS OR SERVICES (NO MATTER HOW CAUSED), FOR ANY COMPROMISE OF DATA SUCH AS VIRUSES OR TROJAN HORSES (REGARDLESS OF SOURCE), OR FOR ANY DIRECT DAMAGES NOT EXCEEDING (COMBINED) THE GREATER OF (A) TOTAL FEES PAID TO US FOR THE SPECIFIC SERVICES IN THE THREE (3) MONTHS PRIOR TO THE ASSERTION OF ANY CLAIM OR (B) $500.00.

Governing Law and Jurisdiction

These Terms of Service shall be interpreted in line with the laws of the State of Arizona, encompassing its principles of conflicts of law, as well as the laws of the United States of America. All disputes derivative from or connected to the interpretation of these Terms of Service are to be subjected to the sole jurisdiction and venue of the state and federal courts situated in Maricopa County, Arizona.

Modification

CAYO Nutraceutical retains the exclusive right to alter, adjust, or bring substitutions to any of these Terms of Service, or to pause, halt, or discontinue the Services (which includes, but is not limited to, the availability of any database, feature, or content) at any given moment either by placing a notice within the Site or through direct communication with you via email or any other suitable means of electronic communication. We might set restrictions or limitations on specific features and services or limit your use of segments or the entirety of the Services without prior notice or liability. Despite our commitment to providing timely notice of alterations, it remains your duty to examine these Terms of Service regularly for any updates. Your persistent engagement with the Services after receiving notice of such changes implicates your agreement to the modifications.

Full Agreement and Severability

This document represents the complete agreement between you, the user, and CAYO Nutraceutical regarding the Services, which includes your interaction with our website. It takes precedence over any previous discussions, agreements, or understandings—whether spoken, in writing, or electronic—pertaining to the Services. Should any segment of this agreement be deemed invalid or unenforceable, such segment will be curtailed or eradicated to the least extent necessary so that this agreement remains in effect and enforceable in all other respects. A party's non-action concerning a right detailed herein doesn’t imply waiver of the ability to enact that, or any other right, in the future.

Limitation of Liability Due to Unforeseen Events

CAYO Nutraceutical will not be responsible for any lapses in fulfilling our obligations in scenarios where the lapse results from unpredictable events that are beyond our control, including but not limited to cases of mechanical, electronic, or communication problems or deterioration.

Assignment Terms

The rights and mandates provided to you by these Terms of Service are specific to you and cannot be assigned, transferred, or sublicensed without obtaining written permission from CAYO Nutraceutical beforehand. Conversely, CAYO Nutraceutical retains the right to assign or delegate our rights and requirements under these terms without requiring any additional consent.

Promotion Codes

Promotion codes have no monetary worth and can't be exchanged for cash or combined with other promotions. Each promotion code is limited to a single use per transaction. Typically, codes expire 90 days after they're created, but specific ones may have unique expiration dates that will be specified upon their issuance. Unauthorized duplication, sale, alteration, or exchange of the codes is strictly forbidden. Promotion codes are null and void in locations where they're prohibited, subject to tax, or otherwise restricted. CAYO Nutraceutical retains the right to alter or limit the usage of promotion codes at its discretion.

Business Relationships

By agreeing to these Terms of Service, no distinct business relationship such as an agency, partnership, joint venture, or employer-employee relationship is constituted between you and CAYO Nutraceutical, and neither party has the authority to bind the other in any manner.

Notification Practices

Unless specified differently within the provisions of this agreement, any notices pursuant to these Terms of Service must be in written form. Notices are considered delivered when they are personally received, sent via certified or registered mail with confirmation of receipt, confirmed upon electronic delivery if sent by email or fax, or the following day after sending by an overnight courier service. Electronic notices should be directed to support@cayonutra.com.

Non-waiver

Failure by CAYO Nutraceutical to enforce any part of these Terms of Service does not constitute a waiver of our rights to later enforce that part or any other part. Non-enforcement on any occasion does not equate to a waiver of enforcement on any future occasion. To be binding, any waivers from CAYO Nutraceutical will be communicated in writing by one of our duly authorized representatives.

Interpretation of Headings

The headings of sections and paragraphs in these Terms of Service serve purely for convenience and will not influence the interpretation of the content herein.
